Terms of Service

These Terms of Service (“Terms”) form a binding agreement between your hotel, resort, or property (“Partner,” “you”) and Dayaxe Inc. (“Dayaxe,” “we”). By creating a listing, accessing the partner dashboard, or accepting a booking, you agree to these Terms. If you do not agree, do not use the platform.

Dayaxe is a marketplace connecting hotel amenities (pools, spas, fitness centers, beach access, and related services) to day guests. Dayaxe is not a hotel operator and does not provide the underlying amenities. You remain the sole provider of the experience offered to guests.

• Maintain accurate listings, pricing, capacity, and availability at all times.
• Honor all confirmed bookings. If a booking cannot be honored, notify Dayaxe promptly so the guest can be refunded or rebooked.
• Provide amenities in a condition consistent with the listing description and applicable health, safety, and licensing requirements.
• Maintain commercial general liability insurance appropriate for the property type and amenities offered.
• Comply with all applicable laws, including consumer protection, accessibility, and anti-discrimination laws.

Dayaxe charges a service fee per confirmed booking, disclosed at the time of listing. Payouts are processed on a recurring schedule (typically weekly) via the banking details you provide, less applicable fees and refunds.

You are responsible for any taxes owed on income received, including sales and occupancy taxes where applicable. Dayaxe may issue year-end tax documents (e.g., IRS Form 1099) as required by US law.

Default cancellation windows apply to all bookings unless you configure a stricter policy in your dashboard. Refunds follow the displayed policy. Disputed bookings are reviewed case by case, prioritizing guest safety and contractual accuracy.

By uploading photos, descriptions, or other content to the platform, you grant Dayaxe a non-exclusive, worldwide, royalty-free license to host, display, and promote the content in connection with your listing and Dayaxe’s marketing. You represent that you own or have the right to share the content.

• Misrepresenting amenities, pricing, or availability.
• Redirecting confirmed guests off-platform to avoid fees.
• Discriminatory treatment based on protected characteristics.
• Reverse engineering, scraping, or overloading the platform.
• Uploading content that infringes third-party rights.

Either party may terminate the partnership at any time for convenience. Dayaxe may suspend or terminate access immediately for breach of these Terms, risk to guest safety, or legal reasons. Terms that by their nature should survive (indemnity, liability, governing law) survive termination.

The platform is provided “as is” and “as available.” Dayaxe disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a specific volume of bookings or revenue.

To the fullest extent permitted by law, Dayaxe’s aggregate liability arising out of or relating to the platform will not exceed the total service fees paid by you to Dayaxe in the twelve months preceding the claim. Dayaxe is not liable for indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify and hold harmless Dayaxe and its officers, employees, and agents from claims arising out of (a) the condition or operation of your property and amenities, (b) your breach of these Terms, or (c) your violation of applicable law.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Disputes will be resolved in the state or federal courts located in Delaware, except that either party may seek equitable relief in any court of competent jurisdiction.

We may update these Terms as our service evolves. Material changes take effect 30 days after notice to partner contacts. Continued use of the platform after the effective date constitutes acceptance.
